CONSENT TO THE PROCESSING OF PERSONAL AND CORPORATE DATA

Introductory Provisions
This Consent to the Processing of Personal and Corporate Data (hereinafter referred to as the "Consent") is entered into between MAŃSKI, with its registered office at [insert address], Company ID: [insert], VAT No.: [insert] (hereinafter referred to as the "Controller"), as the data controller in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data (hereinafter referred to as "GDPR"), and the hospital/organization that registers with the World Emergency Card system via the websites www.worldemergencycard.com or www.worldemergencycard.in (hereinafter referred to as the "Data Subject"). -
Scope of Data Processing
The Controller shall process the following categories of personal and corporate data in accordance with this Consent and applicable data protection laws, including GDPR:
a) Identification Data: name of the organization, registered office, Company ID, VAT No.;
b) Contact Data: contact persons, email addresses, phone numbers;
c) Financial Data: data necessary for the issuance and management of invoices and the performance of contractual obligations, including data on payment cards and transactions;
d) Representative Data: name, surname, position, work email, work phone number of the individual representing the Data Subject;
e) Other Data: any other information provided to the Controller in connection with the performance of the contractual obligations between the Controller and the Data Subject. -
Purpose of Data Processing
The personal and corporate data of the Data Subject shall be processed by the Controller solely for the following purposes:
a) Registration with the World Emergency Card system: the creation and management of the Data Subject's account within the World Emergency Card system;
b) Performance of Contractual Obligations: ensuring the proper performance of contracts concluded between the Controller and the Data Subject, including the issuance and management of invoices and the execution of payment transactions;
c) Automatic Renewal of the Contract: the management and facilitation of the automatic renewal of the contractual relationship unless duly terminated in accordance with the terms and conditions;
d) Compliance with Legal Obligations: fulfilling the Controller's legal obligations, including those related to accounting, tax, and data protection laws;
e) Protection of the Controller's Rights: ensuring and safeguarding the Controller's legal interests, particularly in the event of legal disputes, claims, or complaints. -
Legal Basis for Data Processing
The personal and corporate data are processed on the basis of the following legal grounds:
a) Performance of a Contract: processing is necessary for the conclusion and performance of the contract between the Controller and the Data Subject, including the provision of services in accordance with the terms and conditions;
b) Compliance with Legal Obligations: processing is necessary for the fulfillment of the Controller's legal obligations under applicable laws, including tax and accounting regulations;
c) Legitimate Interests of the Controller: processing is necessary for the purposes of the legitimate interests pursued by the Controller, such as the collection of receivables or defense against legal claims. -
Data Retention Period
Personal and corporate data will be retained for the duration of the contractual relationship between the Controller and the Data Subject. After the termination of the contractual relationship, data will be retained for the period required by applicable legal regulations, including tax and accounting laws, or for as long as necessary to protect the Controller's legitimate interests. In case of disputes, personal data will be retained until the dispute is resolved. -
Rights of the Data Subject
In accordance with GDPR, the Data Subject has the following rights regarding the processing of their personal and corporate data:
a) Right of Access: the right to obtain confirmation as to whether or not personal data concerning them are being processed, and, if so, access to the personal data and related information;
b) Right to Rectification: the right to request the correction of inaccurate personal data or the completion of incomplete data;
c) Right to Erasure: the right to request the deletion of personal data when they are no longer necessary for the purposes for which they were collected or when the Data Subject withdraws consent;
d) Right to Restriction of Processing: the right to request the restriction of processing in certain cases, such as when the accuracy of the data is contested or when processing is unlawful;
e) Right to Data Portability: the right to receive the personal data concerning them, which they have provided to the Controller, in a structured, commonly used, and machine-readable format, and the right to transmit those data to another controller;
f) Right to Lodge a Complaint: the right to lodge a complaint with a supervisory authority if the Data Subject believes that their rights have been violated. -
Withdrawal of Consent
The Data Subject has the right to withdraw their consent to the processing of personal data at any time. The withdrawal of consent does not affect the lawfulness of processing based on consent before its withdrawal. -
Transfer of Personal Data to Third Countries
The personal data of the Data Subject may be transferred to third countries outside the European Economic Area if necessary for the performance of the contract or to ensure the services provided within the World Emergency Card system. The Controller will ensure that any transfer of personal data to third countries complies with GDPR, either based on an adequacy decision by the European Commission or appropriate safeguards, including standard contractual clauses. -
Final Provisions
This Consent is concluded for an indefinite period and shall remain in force until the contractual relationship between the Controller and the Data Subject is duly terminated. The Controller reserves the right to update this Consent in accordance with applicable laws.
TERMS AND CONDITIONS

Introductory Provisions
These Terms and Conditions (hereinafter referred to as the "Terms") govern the contractual relationship between MAŃSKI, with its registered office at [insert address], Company ID: [insert], VAT No.: [insert] (hereinafter referred to as the "Provider"), and hospitals/organizations (hereinafter referred to as the "Customer") that register for the World Emergency System providing the World Emergency Card service (hereinafter referred to as the "Service"). -
Price and Payment Terms
a) Registration Fee: The registration fee is €24,900 for the first year. For each subsequent year, the fee is €24,900 plus applicable local VAT, based on the legal regulations in the country of the Customer's residence.
b) Payment Terms: Invoices are payable within 7 days from the date of issue. If the Customer fails to pay the invoice within the specified deadline, the Provider reserves the right to impose a late payment penalty of €100 for each day of delay.
c) Automatic Payments: If the Customer provides payment card details, payment for the next billing period will be automatically processed 30 days before the beginning of that period.
d) Minimum Contract Duration: The contract is entered into for a fixed period of 5 years (hereinafter referred to as the "Initial Term"), after which it will automatically renew for another 5-year period unless terminated in writing at least 60 days before the start of the next billing period.
e) Termination Penalty: If the Customer terminates the contract before the end of the Initial Term or any subsequent renewal period, a termination fee of 50% of the remaining unpaid fees for the entire Initial Term or renewal period will be charged. -
Customer Obligations
a) Upon successful registration with the World Emergency Card system, the Customer agrees to display visible materials (flyers and stickers) in the premises of the hospital/organization indicating its membership in the Service. These materials will be provided free of charge by the Provider and must be displayed in accordance with the Provider's instructions.
b) The Customer also undertakes to fulfill all its obligations under the contract in a timely and proper manner. In the event of a breach of these obligations, the Provider reserves the right to terminate the contract unilaterally, and the Customer shall be liable to pay all outstanding amounts and applicable penalties in accordance with these Terms. -
Authorized Representative Mandate
The Customer hereby declares that the registration is being completed by an individual authorized to act on behalf of the hospital/organization and to enter into this contract. No subsequent objections regarding the individual’s authority to enter into this agreement will be accepted, and any attempt to void the contract on such grounds will be considered invalid. -
Automatic Contract Renewal
The contract will automatically renew for an additional 5-year period upon the expiration of the Initial Term, unless the Customer provides written notice of termination at least 60 days before the start of the next billing period. The Provider will send the Customer a reminder email 5 days before the start of the next billing period. The Provider shall not be responsible for whether this email reaches the Customer's primary inbox, and the Customer agrees to regularly check their "SPAM" or "Junk Mail" folders. No claim can be made on this basis at a later date. -
Contract Termination
a) Early termination of the contract before the end of the Initial Term or any renewal period is not permitted without incurring a penalty. If the Customer terminates the contract early, they will be required to pay a termination fee amounting to 50% of the total outstanding fees for the entire remaining portion of the Initial Term or renewal period.
b) The Customer may only terminate the contract by providing written notice. The termination notice must be delivered in compliance with these Terms. Termination without observing the notice period is not permitted without incurring a penalty. -
Data Protection and Confidentiality
All personal data provided by the Customer will be processed in accordance with the GDPR and any other applicable data protection laws. The Provider undertakes to treat all information related to the Customer as confidential and will not disclose it to any third party unless required to do so by law. -
Intellectual Property
All materials, software, tools, and services provided as part of the Service remain the exclusive property of the Provider. The Customer acknowledges and agrees that they shall not alter, copy, or distribute any part of the Service without the prior written consent of the Provider. -
Dispute Resolution and Governing Law
Any disputes arising in connection with these Terms shall be resolved by the courts having jurisdiction in the Provider's registered office location. These Terms shall be governed by and construed in accordance with the laws of the Czech Republic. -
Final Provisions
a) These Terms represent the entire agreement between the Provider and the Customer and supersede any prior oral or written agreements relating to the Service.
b) The Provider reserves the right to amend these Terms at any time. Any changes will be notified to the Customer at least 30 days before they take effect. If the Customer does not agree to the changes, they may terminate the contract under the conditions specified in these Terms. -
Right of Withdrawal. The Customer has the right to withdraw from the contract within 7 days from the date of registration, without incurring any penalties or charges. To exercise this right, the Customer must provide written notice of withdrawal to the Provider within the specified 7-day period. If the withdrawal is made within this time frame, any payments already made by the Customer will be refunded in full. After the expiration of this 7-day period, the contract shall be binding and may only be terminated in accordance with the provisions set forth in these Terms.

Limitation of Liability
The Provider shall not be held liable for any damages, losses, or expenses arising from the non-functionality, incompleteness, inaccuracies, interruptions, or any other issues related to the operation of the World Emergency Card system. The Customer acknowledges that the Service is provided "as is" without any warranties, express or implied, regarding its availability, accuracy, performance, or fitness for a particular purpose. The Provider expressly disclaims all liability for any direct, indirect, incidental, consequential, or special damages, including but not limited to loss of profits, business interruptions, or data loss, that may result from the use or inability to use the Service. The Customer agrees that their sole remedy in the event of any defect or dissatisfaction with the Service is to discontinue its use. The Provider does not warrant that the system will be uninterrupted, error-free, or immune to external threats, and the Provider shall not be responsible for any disruptions or outages caused by external factors beyond its reasonable control, including but not limited to force majeure events, cyberattacks, or failures in internet connectivity.
